Cyprus Company Formation Checklist
A step-by-step overview of what it takes to set up and run a company in Cyprus — from choosing a name to staying compliant.
1. Choose your company name & structure
- ✓Pick a unique company name and check availability with the Registrar of Companies
- ✓Decide on the structure — a private limited company is the most common choice
- ✓Define your share capital and the split between shareholders
2. Prepare the required documents
- ✓Passport copies and proof of address for every director and shareholder
- ✓Memorandum & Articles of Association
- ✓Any additional due-diligence documents (bank reference, CV, proof of funds) where required
3. Appoint directors, shareholders & secretary
- ✓At least one director and one shareholder
- ✓A company secretary
- ✓Consider a Cyprus-resident director if you want the company to be tax-resident in Cyprus
4. Register the company
- ✓Submit the incorporation documents to the Registrar of Companies
- ✓Receive the Certificate of Incorporation
- ✓Obtain certificates of directors, shareholders and registered office
5. Open a bank account
- ✓Choose a Cyprus or international bank that fits your business
- ✓Prepare your KYC / due-diligence documents
- ✓Allow time for the bank's compliance review
6. Register for VAT & tax
- ✓Obtain a Tax Identification Code (TIC)
- ✓Register for VAT if your activity requires it
- ✓Understand the 12.5% corporate tax and your filing obligations
7. Stay compliant (ongoing)
- ✓File the annual return and audited financial statements on time
- ✓Keep proper bookkeeping and accounting records
- ✓Renew your registered office and secretary services each year
